NestSaaS Commercial Software License Agreement
Version 1.0 – Effective [2025-04-29]
This software ("NestSaaS") is licensed under the following commercial terms. By using, copying, or distributing any part of the software, you agree to be bound by the terms and conditions outlined below.
1. Ownership
All rights, title, and interest in and to the Software, including all copyrights, trademarks, and other intellectual property rights, are and shall remain the exclusive property of NestSaaS (the "Licensor").
2. License Grant
The Licensor grants you a non-exclusive, non-transferable, limited license to use the Software solely for your internal business use to develop, deploy, and operate your own SaaS applications, content platforms, or similar End Products ("End Products").
You may integrate and modify the Software solely as necessary to incorporate it into your End Products.
3. License Restrictions
3.1 Prohibition of Commercial Redistribution
You may not sell, sublicense, distribute, or otherwise commercially provide all or any part of the Software, or any derivative works based on it, as a standalone product, template, platform, SaaS starter kit, development tool, or similar offering.
3.2 Copying and Modification
You may not copy or modify the Software except as necessary to integrate it into your End Products. Any modified versions remain subject to this License Agreement.
3.3 Reverse Engineering
You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where expressly permitted by applicable law.
3.4 Intellectual Property Notices
You must retain all copyright notices, trademarks, attributions, and proprietary markings included in the Software. You may not remove, alter, or obscure any such notices.
4. Compliance with Laws
You agree to use the Software only in compliance with all applicable local, state, national, and international laws and regulations.
5. No Warranty
The Software is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Licensor does not warrant that the Software will be error-free or operate without interruption.
6. Limitation of Liability
To the fullest extent permitted by law, the Licensor shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages (including, without limitation, loss of profits, business interruption, or loss of information) arising from the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.
This limitation of liability shall apply to the maximum extent permitted by applicable law.
7. Termination
This License will automatically terminate if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession.
Provisions regarding Ownership, Restrictions, Warranty Disclaimer, Limitation of Liability, and any other provisions that by their nature should survive termination, shall continue to apply.
8. Governing Law
This License Agreement shall be governed by and construed in accordance with the laws of [Your Country/Region], without regard to its conflict of law principles.
